Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Saksho platform, website, APIs, and related services (the “Services”), provided by Saksho (“Saksho”, “we”, “our”, or “us”). By accessing the Services, you agree to be bound by these Terms.

1. Eligibility and accounts

You may use the Services only if you can form a binding contract with Saksho under applicable law. Accounts are intended for business use. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

2. The Services

Saksho provides a multi-tenant SaaS platform for governance, risk, and compliance, including AI-assisted evidence collection, control mapping, gap analysis, and security scanning. The specific features available to you depend on your subscription, your tenant configuration, and any feature flags applied to your account.

3. Customer content and your data

You retain ownership of the content you upload to the Services (“Customer Content”). You grant Saksho a worldwide, non-exclusive, royalty-free license to host, process, and transmit Customer Content solely as necessary to provide the Services to you. We do not use Customer Content to train third-party foundation models.

4. Acceptable use

You agree not to:

  • Upload content that infringes intellectual property, privacy, or other rights of any third party.
  • Use the Services to violate any applicable law, regulation, or contractual obligation.
  • Attempt to interfere with, reverse engineer, or disrupt the integrity or performance of the Services.
  • Use the Services to send unsolicited messages, malware, or harmful content.

5. Subscription and fees

Paid plans are billed on the cadence stated in your order form or agreement. Fees are non-refundable except as expressly stated. Saksho may modify pricing on renewal with prior notice.

6. Confidentiality

Each party will protect the other’s confidential information with the same care it applies to its own, but no less than reasonable care. Customer Content is considered your confidential information.

7. Intellectual property

Saksho retains all right, title, and interest in and to the Services, including all related software, models, and content other than Customer Content. No rights are granted to you other than those expressly set out in these Terms.

8. AI-assisted features

Some Services use machine learning and large language models to analyze Customer Content. AI outputs may be incomplete, inaccurate, or otherwise unsuitable for your specific use case. You remain responsible for reviewing AI outputs and for the decisions you make based on them.

9. Disclaimers

Except as expressly stated in these Terms or in a separate written agreement, the Services are provided “as is” and Saksho disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to these Terms or the Services. Each party’s aggregate liability under these Terms will not exceed the fees paid or payable by you in the twelve months preceding the event giving rise to liability.

11. Indemnification

You agree to indemnify Saksho against claims arising from your Customer Content or your breach of these Terms. Saksho will defend you against claims that the Services as provided infringe a third party’s intellectual property rights, subject to standard carve-outs and procedural requirements.

12. Term and termination

These Terms apply for as long as you use the Services. Either party may terminate for material breach not cured within thirty days of notice. On termination, your right to access the Services ends; you may export Customer Content during a reasonable wind-down period.

13. Governing law

These Terms are governed by the laws of the jurisdiction stated in your order form or agreement. Disputes will be resolved in the courts of that jurisdiction unless mandatory law provides otherwise.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Services or by email to account administrators, with an updated “Last updated” date.
